SKU is usually an internal company identification number. SKU stands for “Stock Keeping Unit”

    http://en.wikipedia.org/wiki/Stock_Keeping_Unit

UPC is a Universal Product code, usually placed by the manufacturer of the product, and will remain the same no matter which vendor is carrying the product

    http://en.wikipedia.org/wiki/Universal_Product_Code

For example, a Widget from Acme, Inc. has a UPC of 12345-54321. At Widgets and things, the product will have that UPC printed on it, but a SKU of 32-1234. Over at the competitior, Widgets R Us, it has that same UPC, but a SKU of AA-342673. Same product, but the two businesses classify it internally differently.

Whether or not you use both is entirely up to how your business wants to run. I would recommend it just for organizations sake.

SKU’s are numbers created by your own company for product tracking, etc.

UPC’s are numbers and bar codes given by http://www.uc-council.org/ that you find on products. The identical product at two different stores will have the same UPC code, but different internal SKUs.

So you would use UPCs to identify a product, and then issue a SKU based on that.
